These GAIB Token Airdrop Terms and Conditions (“Airdrop Terms”) govern the participation of eligible users (“Participants”) in the GAIB Token airdrop campaign (“Airdrop”), organized by Great AI Foundation (“GAIB”, “Foundation”, “Issuer”, “we”, or “us”), a foundation established under the laws of the Republic of Panama.

By participating in the Airdrop, you (“Participant”) agree to be bound by these Airdrop Terms and the Great AI Foundation’s Privacy Policy, Terms of Service, and Risk Disclosure Statement published on gaibfoundation.org (together, the “Supplementary Policies”). All such instruments must be read together.

For purposes of these Airdrop Terms:

  • “Airdrop” refers to the Issuer’s discretionary promotional program granting Participants access to or the ability to claim GAIB Tokens.

  • The “Airdrop Period” means the time frame established by the Issuer in its sole discretion.

  • “Tokens” refer to digital assets created and managed by the Issuer under governing smart contracts deployed by GAIB or authorized affiliates.

  • “Airdrop Rules” mean specific eligibility criteria, distribution mechanisms, and vesting or claim procedures established by the Issuer, which may be updated without prior notice.

The Airdrop shall be conducted during such period and in such phases as may be determined by Great AI Foundation in its sole and absolute discretion and announced on the Foundation’s official website (gaibfoundation.org) or through other authorized communications of the Foundation .

Each Participant must comply strictly with all instructions, eligibility criteria, and participation procedures published in any official Airdrop announcement or other documentation issued by the Foundation from time to time.

The quantity of GAIB Tokens to be allocated or distributed to each Participant shall be determined solely by the Foundation, acting in its absolute discretion, based on parameters such as activity, engagement, or other criteria set forth in the Airdrop Rules. Allocation amounts may vary among Participants and may be changed, adjusted, or revoked at any time during the Airdrop Period without prior notice.

1. Legal Entities and Venue

The Airdrop is conducted and administered by the Great AI Foundation. The Airdrop is accessible via the Foundation's official website (gaibfoundation.org) and/ or through other platforms explicitly authorized by GAIB or its affiliates. GAIB is not responsible for use of any unauthorized interface, mirror site, or third-party form of access.

For the avoidance of doubt, the Foundation administers and manages the distribution of GAIB token independently.

2. Nature and Purpose of the Airdrop

The Airdrop is a promotional activity intended to reward early community participation in the GAIB ecosystem. Tokens are distributed gratuitously and carry no intrinsic or guaranteed monetary value. The Airdrop does not constitute an offer, solicitation, or issue of securities, investments, or financial instruments. It is designed solely for community and technological engagement purposes.

The Foundation reserves the exclusive right to determine the structure, timing, participation criteria, and distribution methodology. Allocations may vary among participants, and issuance does not imply entitlement to future Token rights, redemption, or exchangeability.

The Foundation reserves the right, in its sole discretion, to modify, suspend, or terminate the Airdrop, to determine qualifying eligibility, and to vary distribution criteria without prior notice.

3. Jurisdictional Restrictions

Participation is limited to natural persons aged 18 years or older meeting all applicable criteria under the Airdrop Rules. The Foundation reserves the right to deny participation to any address, jurisdiction, or blockchain identifier. Automatic geo-screening and IP location checks will be used to restrict access from prohibited jurisdictions. Attempting to circumvent such controls constitutes a material breach of these Terms.

The Airdrop and the associated use of GAIB websites, platforms, and services are not intended for, nor offered to, individuals or entities who reside in, are citizens of, or are incorporated in the following jurisdictions:

United States, Mainland China, Hong Kong, Syria, Sudan, Myanmar, the Balkans, the Democratic Republic of the Congo, Libya, Somalia, Zimbabwe, Belarus, Canada, Cuba, North Korea, Iran, Russia, the United Kingdom, Venezuela, Yemen, and specific regions of Ukraine and Russia including Crimea, Donetsk People's Republic (DNR), Luhansk People's Republic (LNR), Kherson, and Zaporizhia.

Participation from such restricted or sanctioned jurisdictions is strictly prohibited. The Foundation reserves the right to deny or revoke eligibility at any time if, in its discretion, a Participant appears to fall within a restricted category.

4. Participant Representations

By participating, each Participant represents and warrants that: (i) they possess the legal authority and capacity to enter into these Terms; (ii) participation does not contravene applicable laws, sanctions, or tax requirements; (iii) Tokens are received voluntarily without expectation of return or profit; (iv) all information provided is true and accurate; (v) they will comply fully with the Supplementary Policies, including Privacy and Risk disclosures; (vi) they understand the risks inherently associated with using cryptographic and blockchain-based systems; (vii) they have a working knowledge of the usage, storage, and intricacies of digital assets; and (viii) they lawfully may receive Tokens for free via the Airdrop and were not promised the Tokens.

Participation does not establish any partnership, fiduciary, employment, or advisory relationship between the Participant and the Foundation.

The Participant acknowledges the evolving nature of laws governing digital assets and agrees that regulatory developments may materially impact Token value, transferability, or legality. The Issuer does not represent compliance with any specific securities or financial framework. No assurances are made regarding future legal treatment of Tokens.

5. Risk and Technology Disclaimers

All activity under the Airdrop and interactions with any related smart contracts, web applications, or DeFi integrations are at the Participant's own risk. The Foundation makes no representation or warranty regarding any of the following: (a) the continuity, value, or transferability of Tokens; (b) the absence of vulnerabilities in blockchain systems or smart contracts; (c) any interruption, fault, or exploit causing loss of Tokens; (d) the future viability or operation of GAIB ecosystem components; or (e) compatibility with all types of digital wallets.

Participants acknowledge that GAIB does not hold custodial control of their wallets or private keys. Loss of access credentials will result in permanent loss of assets, for which the Foundation bears no responsibility.

6. Wallet Requirements and Responsibilities

To participate in the Airdrop, you will need to connect a compatible third-party digital wallet. By using a Wallet, you acknowledge that: (a) the private keys necessary to access digital assets are not known or held by the Foundation; (b) any third party that gains access to your login credentials or private keys may misappropriate your assets; (c) the Foundation entity has no ability to help you access or recover your private key and/or seed phrase; (d) solely you are responsible for maintaining the confidentiality of your private key; and (e) there may be technical limitations, delays, and/or transaction fees payable to third parties.

7. No Offer or Advice

Participation does not constitute an investment. These Tokens are not intended to generate yield or profit. The Foundation makes no warranties that Tokens will be transferable, have any value, or be listed on any exchange. None of the information published via GAIB channels constitutes financial, investment, or tax advice. Participants must perform independent due diligence and seek professional advice prior to using or transferring Tokens.

8. Eligibility Screening and Compliance

The Foundation reserves the right to require additional information from Participants and to use screening services to reduce risks of money laundering, terrorist financing, sanctions violations, or other illicit activity. Participants agree to provide complete and accurate information in response to any such requests.

Participants are not entitled to receive Tokens based on any third-party sources, metrics, or leaderboards. The Foundation does not verify accuracy or fairness of information disseminated by third-party aggregators or social media. Token eligibility is determined solely by GAIB’s internal criteria.

9. Third-Party Publications and Services

Participants acknowledge that they are not entitled to receive any Tokens based on documentation, commentary, calculators, metrics, or points systems published by third parties. The Foundation does not review or confirm the accuracy of Third-Party Publications and Services.

10. Limitation of Liability

To the fullest extent permitted by law, the Foundation and its affiliates (if any) disclaim all liability for indirect, consequential, special, or punitive losses arising from participation; diminished asset value or delay in transaction settlement; failure or vulnerability of networks, APIs, or third-party systems. All Tokens and participation are provided “as is” without warranties of any kind, whether express or implied.

The Foundation shall not be liable for any losses resulting from: (a) distributed denial-of-service attacks, viruses, or harmful materials; (b) fluctuations in the cost and speed of blockchain transactions; (c) your inability to claim the Airdrop due to technical issues; (d) reliance on third-party products or services; or (e) any other circumstances beyond our reasonable control.

11. Indemnification

Participants shall indemnify and hold harmless the Foundation, and their affiliates, directors, and agents from all claims, liabilities, or losses arising from participation, misrepresentation, or violation of these Terms, including reasonable attorneys' fees.

12. Privacy and Data Use

Participants consent to the processing of their data (such as wallet addresses and verification metadata) solely for validating eligibility and administration. The Foundation processes such data in accordance with applicable privacy law and the GAIB Privacy Policy. The Privacy Policy and Risk Disclosure Statement are incorporated by reference and must be read in conjunction with these Airdrop Terms as part of the full legal framework governing GAIB user participation.

13. Force Majeure and Updates

The Foundation shall not be held liable for failure to perform due to circumstances beyond its reasonable control, including acts of government, regulatory actions, cyber incidents, black swan events or force majeure events. The Foundation reserves the right to modify these Terms by posting updates on gaibfoundation.org. Continued participation constitutes acceptance of revised terms.

14. Governing Law, Arbitration, and Class Waiver

These Terms are governed by the laws of the Republic of Panama. Any dispute or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, breach, or termination, shall be referred to and finally resolved by binding arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (“CeCAP”), in accordance with its Arbitration Rules in force at the time of the dispute..

The seat of arbitration shall be Panama City, Republic of Panama, and the arbitration shall be conducted in the English language. The arbitral tribunal shall consist of one (1) arbitrator, unless the parties agree otherwise in writing. The arbitrator’s decision shall be final and binding on the parties, and judgment upon the award rendered may be entered in any court of competent jurisdiction.

Class Action Waiver: Participants agree to resolve all disputes on an individual basis and waive any right to participate in class, collective, or representative proceedings. The arbitrator shall have no authority to consolidate arbitrations or preside over class claims. Participants may opt out of this waiver within thirty (30) days by written notice to [email protected].

15. Prohibited Activities

Participants must not: (a) use automation software, bots, or unauthorized third-party tools; (b) attempt to manipulate or exploit the Airdrop mechanism; (c) engage in any fraudulent, deceptive, or illegal activity; (d) circumvent geographic restrictions using VPNs or similar tools; (e) sell, assign, or transfer control of wallet addresses to circumvent lock-up periods; or (f) violate any applicable laws or regulations.

16. Statute of Limitations

Any cause of action or claim related to these Terms or the Airdrop must be initiated within six (6) months from the date the cause of action arises. Failure to file within this period will result in permanent barring of the claim.

17. No Injunctive Relief

To the fullest extent permitted by law, Participants agree they will not be entitled to seek injunctive or equitable relief in connection with their use of the Airdrop or Services.

18. Entire Agreement and Severability

GAIB reserves the right to modify or discontinue the Airdrop and amend these Terms at any time by posting updates on gaibfoundation.org.

These Terms, together with the Supplementary Policies, represent the entire agreement governing participation and supersede all prior communications. If any provision is deemed unenforceable, it shall be modified to the minimum extent necessary to retain validity, and the remaining clauses shall continue in full force.
